ARTICLE I

Order of Business

The following shall be the order of business for conducting the meetings of the Board of Directors. Temporary departures from this order may be made with the consent of the Board.

  1. Reading, correction, and adoption of the minutes.
  2. Treasurer’s Report.
  3. Reports of Committees.
  4. Unfinished Business.
  5. New Business.
  6. Adjournment.

ARTICLE II

Committees

Sec. 1. There shall be a standing committee on legislation. Other committees may be appointed by the President as required.

Sec. 2. The membership of any standing committee shall consist of at least 5 members of the Association appointed by the President.

Sec. 3. The Legislative Committee will report to the Association on educational legislation, resolutions and or regulations as well as the Committee’s proposed advocacy position regarding said legislation, resolutions and or regulations. The Board of Directors shall have ultimate authority, by vote pursuant to Article V Section 7 and 8 of the Association Constitution, to approve, modify or change the advocacy position proposed by the Legislative Committee.

ARTICLE III

Meetings

All meetings of this Association shall be conducted according to parliamentary usage as set forth in Robert’s’ “Rules of Order,” revised edition.

ARTICLE IV

Election of Officers

Officers of the Association shall be elected by the Board of Directors for the ensuing year prior to the conclusion of the Association’s fiscal year. The officers shall be elected by a majority of the total votes present.

ARTICLE V

Quorum

One third or more voting representatives shall constitute a quorum for the transaction of business. Proxy voting will be governed by Article V Section 8 of the Association Constitution.

ARTICLE VI

Executive Director

The Executive Director shall be subject to an annual performance review prior to the end of the fiscal year or as determined by the President, First and Second Vice President and Treasurer. The review shall be conducted by the officers of the Association. A written copy of the review shall be maintained in the Association’s personnel files.

ARTICLE VII

Change in By-Laws

Any by-laws of this Association may be repealed or modified, or new by-laws adopted by a majority vote of the Board of Directors, provided such proposals are submitted in writing to the member boards at least thirty (30) days prior to the meeting.
